Terms of Service

1. Introduction

Emberly is a service of Relato Labs, Inc. (“we”, “us”, or “our”), a corporation organized under the laws of the State of Delaware, with its principal place of business at 2261 Market Street, 10209, San Francisco, CA 94114.

Emberly is a personal service that helps you remember the birthdays of people you care about and find gifts they would actually want (the “Service”). These Terms of Service (“Terms”) govern your access to and use of the Service, including the Emberly website and waitlist. By using the Service, you agree to these Terms and to our Privacy Policy.

Please read these Terms before using the Service. If you do not agree to them, do not use the Service.

2. Who Emberly is for

The Service is for your personal, non-commercial use. To use it, you must be old enough to enter into these Terms under the law where you live. The Service is not intended for children.

3. The Service today

Emberly is not yet generally available. What the Service currently offers is a waitlist: you can give us your email address to reserve a place, and we will email you to confirm your spot and to let you know when Emberly opens. You can leave the waitlist at any time by emailing us at hello@heyemberly.com, and we will remove you.

You agree that the email address you give us is yours and is accurate. As the product itself becomes available, we will update these Terms before features that need new terms go live.

4. Invitations

When you join the waitlist we may give you a personal invite link. If someone joins through your link, their signup is associated with yours. If we offer any benefit for invitations, the details will be described on the site at the time; we may change or withdraw any such benefit for future invitations at our discretion.

5. Gift suggestions and commissions

When Emberly suggests a gift, the purchase happens with the merchant, not with us. We are not the seller, and the merchant’s own terms govern your purchase. On some suggestions we may earn a commission from the merchant. A commission never changes the price you pay, and it never determines what we suggest: we suggest a gift because of the reason it fits, not because of what it pays us.

6. Acceptable use

You agree not to:

• use the Service for any unlawful purpose;
• disrupt or interfere with the Service, or attempt to gain unauthorized access to it or its related systems;
• sign up with email addresses that are not yours, or use invitations in a deceptive or automated way;
• violate the intellectual property or other rights of others through the Service.

7. Intellectual property

All intellectual property rights in the Service and its content, features, and functionality are and will remain the exclusive property of Relato Labs, Inc. and its licensors, and are protected by copyright, trademark, and other applicable laws. Your use of the Service does not grant you any right to use the Emberly or Relato names, logos, or marks without our express agreement.

8. Fees

The waitlist is free. Nothing in the Service costs money today. If we introduce paid features, we will publish their prices and payment terms before you can buy anything, and no charge will ever apply to you without your agreement.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes exactly what information we collect and how we use it.

10. Ending things

You can leave the waitlist at any time by emailing us. We may suspend or remove your access to the Service, including your place on the waitlist, if you breach these Terms.

11. Disclaimer

The Service is provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by law. To the same extent, Relato Labs, Inc. will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any provision of these Terms is not a waiver of it.

13. Changes

We may modify these Terms from time to time. When we do, we will post the updated Terms on this page with a new effective date. By continuing to use the Service after changes take effect, you agree to the revised Terms.
